Before accessing or using the CoinP Web3 Wallet or related services, you must carefully read the entire contents of this CoinP Web3 Wallet Service Agreement. The CoinP Web3 Wallet Service Agreement (hereinafter referred to as “this Agreement”) is entered into by you (hereinafter referred to as “User” or “you,” “your,” or “participant”) and CoinP (also referred to as “CoinP,” “we,” or “the Platform”), and applies to your use of the CoinP Web3 Wallet (as defined below) and related services. It is legally binding on you and CoinP. By accessing or using the CoinP Web3 Wallet and related services, you are deemed to have fully read, understood, and agreed to be bound by all the terms of this Agreement. You also agree that we may collect, use, disclose, and process your information in accordance with the Privacy Policy. Any supplementary terms on this website are incorporated into this Agreement by reference.
This Agreement constitutes a supplement and integral part of the CoinP User Agreement and should be read and interpreted together with the User Agreement. Unless otherwise specified in this Agreement, the terms used herein have the same meanings as those defined in the User Agreement. If a term is defined both in this Agreement and in the User Agreement, the definition in this Agreement shall prevail for purposes of interpreting this Agreement. In the event of any conflict or inconsistency between this Agreement and the User Agreement, the provisions of this Agreement regarding the CoinP Web3 Wallet shall prevail, unless explicitly stated otherwise.
The CoinP Web3 Wallet service is part of the “Services” under the User Agreement.
1. Definitions
(a) Applicable Law: refers to any common law, equity principles, laws, regulations, rules, ordinances, judgments, arbitral awards, directives, policies, notices, norms, guidelines, or other legally binding documents or non-binding yet guiding documents issued, revised, reiterated, or replaced from time to time by governmental authorities, relevant regulators, or judicial bodies, including but not limited to laws and regulations related to anti-money laundering, anti-bribery, counter-terrorism financing, sanctions, data privacy, taxation, and consumer protection (as applicable).
(b) Digital Assets: refer to digital representations of value or rights electronically transferred and stored through distributed ledger technology or similar technology, including but not limited to cryptocurrencies, stablecoins, non-fungible tokens (NFTs), and tokenized derivatives of other digital assets.
(c) CoinP / We / Platform: refers to CoinP or its affiliates providing the CoinP Web3 Wallet service.
(d) Losses: refers to any direct or indirect, actual or consequential liabilities, damages, claims, litigation, judgments, fines, settlement costs, and any form of fees and expenses, including but not limited to reasonable attorney fees, court costs, investigative expenses, and other actual expenditures (collectively “Losses”).
(e) Instructions: refers to any directives, applications, requests, or orders issued by you or on your behalf to CoinP related to placing or accepting orders via the CoinP Web3 Wallet, or any such instructions that CoinP reasonably believes are issued by you or on your behalf, including any revocation, disregard, or modification of previously issued instructions, applications, or orders.
(f) Taxes: refers to all federal, state, local, or foreign taxes, fees, levies, surcharges, and other similar charges assessed, imposed, or collected by any competent tax authority, including any interest, penalties, and additional taxes.
(g) Third-Party Services: refers to products and services provided by third-party DApps, smart contracts, open-source protocols, decentralized finance (DeFi), websites, applications, and Web wallets.
(h) Wallet: refers to a digital tool used to store, manage, and interact with digital assets and/or blockchain-based assets (such as NFTs). A wallet may be used to secure private keys (cryptographic codes controlling access to blockchain funds), conduct transactions, view balances, and access decentralized applications.
2. CoinP Web3 Wallet Services
2.1 Subject to compliance with the terms of this Agreement, eligible users may apply for and participate in the CoinP Web3 Wallet services (as defined below). CoinP may provide certain software services to users through web browsers or mobile device applications (collectively, “Web3 Wallet Services”). Web3 Wallet Services may include the following features:
(i) Creating new wallets;
(ii) Managing digital assets within wallets connected via the Web3 Wallet Services;
(iii) Redirecting to third-party services, including but not limited to third-party decentralized exchanges (DEX) and third-party decentralized applications (DApps, collectively with DEX referred to as “DApps”);
(iv) Viewing addresses and information on digital asset networks and broadcasting transactions;
(v) Participating in token swaps and trading on DEX and engaging in DEX activities;
(vi) Using other functions added by CoinP from time to time.
2.2 Eligibility: You may only use the Web3 Wallet Services if you meet all of the following conditions and pass CoinP’s evaluation or any exemption at CoinP’s sole discretion:
(a) Completion of due diligence conducted by CoinP regarding your risk profile and relevant admission criteria;
(b) Possession of a valid CoinP account;
(c) Completion of all KYC (Know Your Customer) verification processes required by CoinP;
(d) Using the Web3 Wallet Services in your jurisdiction without registration, licensing, or any form of approval and without violating or being subject to any applicable legal or regulatory restrictions;
(e) Any other conditions that CoinP may require in specific circumstances.
2.3 Wallet Creation and Connection: To use the Web3 Wallet Services, you must create or connect at least one wallet through us. CoinP has the sole and exclusive discretion to determine whether to support and allow access to the following types of wallets:
(a) Self-custody wallets directly created via CoinP Web3 Wallet Services (CoinP Web3 Wallet);
(b) External self-custody wallets (EOA);
(c) Hardware wallets connected via Bluetooth;
(d) Robot accounts.
2.4 Authorization to Collect Biometric Data: CoinP may collect, process, and store your biometric data, including but not limited to fingerprints, facial recognition, voice characteristics, or other biometric identifiers, for purposes of authentication, security enhancement, fraud prevention, and service optimization. You explicitly agree that CoinP and its authorized third-party service providers may collect, process, and store your biometric information in accordance with applicable laws.
2.5 Mnemonic Phrases and Access Keys: You are responsible for safeguarding your wallet credentials, including the 12 mnemonic phrases of the wallet (“Mnemonic Phrases”) and any digital or hardware access credentials bound to smart contract wallets (e.g., iCloud, Google Passkey, or hardware authentication devices such as Yubikey) (collectively, “Access Keys”). Your Mnemonic Phrases and/or Access Keys are the sole means of accessing the digital assets in your wallet. Anyone with this information can access your digital assets. If you lose your Mnemonic Phrases or Access Keys, you will be unable to access the digital assets in your wallet. You acknowledge that CoinP does not store your Mnemonic Phrases or Access Keys and assumes no responsibility for their security. You agree that CoinP and its affiliates are not liable for any losses resulting from the loss of Mnemonic Phrases or Access Keys, and you release CoinP and its affiliates from such liability.
2.6 Cloud Backup Disclaimer: Users may choose to back up their private keys to third-party cloud storage services integrated with or accessible by the wallet (“Cloud Backup Services”). Cloud Backup Services are provided by independent third-party providers, and CoinP is not responsible for the operation, control, or management of such services. Users understand and agree that using Cloud Backup Services is at their own risk. CoinP does not guarantee or provide any recovery mechanism in the event of loss or inaccessibility of private keys. Users are advised to implement additional security backup measures to protect private keys. CoinP cannot access, store, or control private keys backed up through such services. Users must ensure the security, confidentiality, and recoverability of their private keys. Users agree to fully indemnify CoinP against any claims, losses, or damages arising from reliance on Cloud Backup Services. CoinP is not liable for any private key loss, tampering, unauthorized access, deletion, damage, or inaccessibility resulting from using Cloud Backup Services, including but not limited to:
(a) interruptions, malfunctions, or system errors of Cloud Backup Services;
(b) unauthorized access, hacking, or security vulnerabilities of cloud services;
(c) user misconfiguration, forgotten credentials, or accidental data deletion;
(d) actions, omissions, or policy changes of third-party service providers.
2.7 DApp Disconnection Disclaimer: Users acknowledge and agree that services accessed via CoinP to DApps may be interrupted, disconnected, or fail for reasons beyond CoinP’s control, including but not limited to internet service interruptions, blockchain network congestion, third-party server failures, or regional IP restrictions. Users understand and accept that disconnection from DApps may prevent transaction completion, asset access, or execution of time-sensitive operations, potentially causing significant financial loss. Users bear all risks associated with disconnection. CoinP is not liable for any direct, indirect, incidental, or consequential losses resulting from:
(a) internet service provider failures, network instability, or connectivity issues;
(b) restrictions imposed by governments, regulators, or third-party service providers;
(c) DApp downtime, malfunction, or smart contract failures;
(d) any security or operational vulnerabilities in the blockchain network.
2.8 Management Fees: CoinP may charge management fees, which may be used to cover contract processing fees, funding costs, and other operational expenses. Fee rates may fluctuate based on actual costs. CoinP will publish the latest fee structure on the platform from time to time without prior notice.
2.9 Changes to Services: Without liability to you or prior notice, CoinP may, at any time and at its sole discretion:
(i) change the terms of use for Web3 Wallet Services;
(ii) suspend all or part of the Web3 Wallet Services;
(iii) modify, update, remove, cancel, suspend, terminate, or stop any features, modules, or content of the Web3 Wallet Services. Your continued use of the Web3 Wallet Services constitutes acceptance of the latest CoinP Web3 Wallet Service Agreement and other applicable terms for related operations.
2.10 You authorize CoinP to access, monitor, and operate your account under the conditions specified in Section 2 of this Agreement.
3. Termination Provisions
3.1 Trigger Events
The occurrence of any of the following shall be deemed a “Trigger Event”:
(a) Any representation, warranty, agreement, or commitment you make to CoinP (whether under this Agreement, the User Agreement, or otherwise), or any other material statement you make regarding related matters, is false, inaccurate, incomplete, or misleading at the time made or at any time thereafter, and you fail to promptly notify CoinP of the true circumstances within a reasonable period;
(b) You fail to perform any obligation set forth in this Agreement (including but not limited to obligations regarding the CoinP Web3 Wallet or transactions) or fail to perform any obligations under the User Agreement or any other agreement you have signed with CoinP regarding the services provided (including but not limited to timely performance of any payment or delivery obligations);
(c) You fail to provide CoinP, in a timely manner, any documents required for:
(i) Identity verification (KYC) review, including but not limited to documents for verifying identity, address, legal rights/qualifications, and client classification status;
(ii) Credit checks, anti-money laundering compliance requirements, or other internal compliance reviews conducted by CoinP; and/or if CoinP determines that you fail to pass any of the above reviews or meet its standards;
(d) (If you are an individual) Your death, bankruptcy, initiation (or being subject to) of bankruptcy or insolvency proceedings, or inability to repay debts as they fall due;
(e) (If you represent a partnership) The death, bankruptcy, or initiation (or being subject to) of bankruptcy or insolvency proceedings of any partner of the partnership, inability to repay debts as they fall due, or initiation of partnership dissolution proceedings;
(f) (If you represent a company) The company’s inability to repay debts as they fall due, or initiation of bankruptcy, judicial management, takeover, administrator management, or similar/legal proceedings of similar nature;
(g) Any investigation, claim, lawsuit, or legal proceeding is initiated against you (including but not limited to investigations of market manipulation, abuse, or other criminal conduct), you violate applicable law, or any third party seeks enforcement of security rights against your actions;
(h) You convene a creditors’ meeting, or propose/implement any settlement arrangement with creditors, or transfer property to creditors;
(i) CoinP has reasonable doubts regarding your credit status, financial condition, or identity verification (including but not limited to verification of your residence or the source location of your access to CoinP Web3 Wallet/services);
(j) CoinP reasonably determines that you have insulted, threatened, or otherwise behaved abusively toward any representative of CoinP;
(k) You directly or indirectly use multiple accounts to participate in the CoinP Web3 Wallet services;
(l) Unless otherwise agreed with CoinP, CoinP is unable to contact you through known contact methods within a reasonable period (up to 24 hours);
(m) CoinP, based on good faith, believes measures are necessary to protect its rights and interests under your account or relationship;
(n) CoinP reasonably believes that any of the circumstances listed in Sections 3.1(a) to 3.1(m) may occur and that taking any action under Section 3.2 is necessary, reasonable, or appropriate to protect CoinP or the interests of other CoinP customers;
(o) Obvious errors exist (i.e., any apparent or significant mistakes, omissions, or misquotes, whether by CoinP itself or its authorized third parties, including errors made by representatives under current market conditions and published quotes, or errors in information sources, official results, announcements, etc.);
(p) Reasonable allegations are made against you regarding fraud, negligence, misappropriation of funds, money laundering, insider trading, market manipulation, excessive volatility caused by malicious dumping, major legal violations, regulatory misconduct, etc. (whether by CoinP or a third party), or CoinP reasonably believes you have engaged in improper use of the Web3 Wallet (collectively “Market Manipulation”), and CoinP, based on good faith and reasonable commercial judgment, believes such conduct may damage CoinP’s reputation, disrupt market order on the platform, or cause losses to other users.
3.2 Our Rights
(a) Without affecting any other rights CoinP may have under this Agreement or law, if a Trigger Event occurs, CoinP may (but is not obligated to) immediately or subsequently, during the period of your continued breach, take one or more of the following measures without prior notice:
(i) Suspend (temporarily, long-term, or permanently), cancel, or terminate your account and/or CoinP Web3 Wallet, suspend any services provided to you, or terminate cooperation with you, and immediately demand repayment of all amounts owed to CoinP (including all fees, interest, commissions, and other payable amounts);
(ii) Cancel or reverse any orders and/or executed orders, freeze all or part of the assets in your account, or directly deduct;
(iii) Correct any errors in your account at any time, cancel or reverse any executed orders;
(iv) Liquidate, accelerate, or close any unfinished orders (including orders not settled at the time of CoinP’s termination), and determine their value in good faith and at CoinP’s sole discretion within a reasonable period;
(v) Sell or transfer digital assets or other property held by CoinP or transferred to CoinP by you, in a reasonable time and manner determined by CoinP based on market conditions or account status, to offset your debts, with CoinP reserving the relevant rights of set-off and settlement (whether under this Agreement, the User Agreement, or applicable law);
(vi) Use any asset balances under your name to offset debts owed to CoinP or counterparties (regardless of nature, source, or certainty) and exercise CoinP’s rights of netting and set-off under this Agreement, the User Agreement, or applicable law;
(vii) After executing (vi), pursue you for any remaining shortfall; or if excess funds exist, retain them until other debts are settled, or return them to you in a manner deemed appropriate by CoinP;
(viii) Restrict your ability to withdraw digital assets and/or assets from any account;
(ix) Take or refrain from taking any measures that CoinP reasonably considers necessary, appropriate, or helpful to protect CoinP or its other customers; and/or
(x) Exercise other rights and powers granted to CoinP under this Agreement and/or the User Agreement.
(b) To the extent permitted by law, you shall be responsible for paying CoinP reasonable costs and expenses incurred in recovering any shortfall in your account, including but not limited to legal counsel fees paid or payable by CoinP, and other reasonable expenses arising from the exercise of rights under this Section 3;
(c) You understand and agree that, to the maximum extent permitted by law, CoinP shall not be liable for any losses you may incur as a result of exercising rights under Section 3.2.
4. Representations and Warranties
4.1 Confirmation
(a) You acknowledge that transactions involving digital assets are highly speculative and involve highly leveraged and volatile markets. Despite these risks, you confirm, understand, and agree that you are willing and capable of assuming the financial and other risks associated with digital asset transactions, and you agree not to hold CoinP liable for any losses arising from your use of CoinP Web3 Wallet pursuant to this Agreement, the User Agreement, or any other related documents.
(b) You acknowledge and agree that any information provided by CoinP (whether included in this Agreement or any other document or statement) shall not be considered business, legal, financial, or tax advice. You should consult your own business, legal, financial, or tax advisors regarding the specific opportunities, risks, obligations, or potential costs associated with obtaining and handling digital assets using the CoinP Web3 Wallet. We are not your broker, dealer, agent, or advisor. You understand and agree that no fiduciary or trust relationship exists between you and CoinP in connection with any transaction, decision, or activity undertaken through the CoinP Web3 Wallet. All communications or information provided by CoinP (whether included in this Agreement or other documents) do not constitute investment, business, legal, financial, tax, or trading advice, or any other form of advice. You should independently evaluate whether any investment, strategy, or transaction is suitable for you based on your investment objectives, financial situation, and risk tolerance, and you will bear full responsibility for any resulting losses or liabilities. You should consult your professional advisors regarding any potential opportunities, risks, obligations, or additional costs associated with using the CoinP Web3 Wallet. CoinP does not provide advice on whether you should buy, acquire, sell, transfer, or hold any digital assets. You should conduct due diligence and consult your financial advisors before making any decisions regarding the purchase, sale, transfer, or holding of digital assets. CoinP shall not be liable for any decisions to buy, sell, transfer, or hold based on information from the platform.
(c) Except for other rights and remedies CoinP may have under this Agreement, the User Agreement, applicable law, or other documents, CoinP, acting in good faith, shall not be liable for any losses you may suffer for any reason, including but not limited to losses arising from the default, bankruptcy, or similar legal proceedings of any intermediary (regardless of the legality of their actions), or any other losses arising from or related to this Agreement and/or the User Agreement. Unless you can prove fraud or willful breach by CoinP, CoinP shall not be liable.
(d) Without limiting the generality of the foregoing, under no circumstances shall CoinP be liable to you for any indirect or consequential losses, including but not limited to loss of anticipated profits or punitive damages.
4.2 Your Representations and Warranties
You hereby represent, warrant, agree, and undertake as follows:
(a) Neither you nor your team are incorporated or registered in the United States, nor do you operate within or from the United States;
(b) You have full civil capacity and authority, and have obtained (and will continue to maintain) all necessary authorizations, licenses, permits, or approvals (whether under applicable law or regulations) to:
(i) accept and agree to the terms of this Agreement; and
(ii) receive and/or use the CoinP Web3 Wallet and/or Web3 Wallet Services;
(c) You independently decide to accept the terms of this Agreement, access, and use the CoinP Web3 Wallet and/or Web3 Wallet Services, and determine whether the services are suitable for you, without relying on any communications from CoinP (whether written or oral) as investment advice, trading advice, or any guarantee regarding transaction outcomes;
(d) You have read and understood all terms and conditions of this Agreement, as well as the service descriptions for the CoinP Web3 Wallet on the relevant website pages, and accept the applicable conditions and restrictions for each service;
(e) You shall not authorize any third party to use or access your CoinP Web3 Wallet. You shall be fully responsible for any actions or omissions by third parties accessing the services through the wallet, and shall take all reasonable measures to prevent unauthorized access or use of the wallet services, the platform, and related information;
(f) You shall not use the CoinP Web3 Wallet or Web3 Wallet Services for any illegal purpose or in any illegal manner, including fraudulent or criminal activities, money laundering, funding terrorism, or illicit financing;
(g) You shall not use any automated program, software, engine, web crawler, data analysis tool, mining tool, or similar tool to access the Web3 Wallet Services, scrape or process content, or interfere with or attempt to interfere with other users’ use of the services;
(h) You are not an employee of any government authority or self-regulatory organization (including any exchange or its members), nor engaged in prohibited agency or proprietary business that prevents establishing a relationship with CoinP or trading digital assets, and you shall immediately notify CoinP of any future change in your status;
(i) You shall comply with all applicable laws and shall cease accessing the Web3 Wallet Services if you are unable to use the services legally or compliantly;
(j) You do not reside in any restricted jurisdiction as described in the User Agreement or in any jurisdiction explicitly restricted by CoinP;
(k) Unless you have specifically notified and obtained consent from CoinP, no one other than yourself shall have rights to your use of the CoinP Web3 Wallet and/or Wallet Services;
(l) Unless explicitly agreed in writing by CoinP and as otherwise stated in this Agreement, you shall not and will not use the CoinP Web3 Wallet or any digital assets held therein to establish any pledge, mortgage, or other security interest;
(m) Your duly authorized agents are entitled to act on your behalf;
(n) All information and/or documents you or your representatives provide to CoinP are true, accurate, complete, and non-misleading, and do not conceal any material facts that could affect CoinP’s decision to provide services;
(o) You shall not knowingly or negligently use the CoinP Web3 Wallet Services, platform, or facilities in any manner that could damage CoinP’s reputation, good will, or interests, nor engage in or tolerate market manipulation, forced liquidation practices, or any violation of applicable law, or take any actions that materially disadvantage CoinP or other users;
(p) Neither you nor your affiliates (including yourself) have engaged in any market misconduct, gross negligence, fraud, or illegal activity;
(q) Neither you nor your affiliates (including yourself) are or have been involved in any bankruptcy, liquidation, dissolution, or similar legal proceedings;
(r) Neither you nor your affiliates (including yourself) are or will be subject to investigation, enforcement, sanction, litigation, complaint, or similar legal proceedings by any regulatory or government authority;
(s) Neither you nor your affiliates (including yourself) shall directly or indirectly engage in any activity detrimental to CoinP’s reputation or interests;
(t) Neither you nor your affiliates (including yourself) shall manipulate, interfere with, or control digital asset market prices.
All representations, warranties, agreements, and undertakings above are deemed reaffirmed each time you access the CoinP Web3 Wallet and/or use Wallet Services.
4.3 Independent Warranties
Each representation and warranty in this Agreement shall be interpreted independently and shall not be limited by the existence of any other representation or warranty.
4.4 Reliance on Representations
You acknowledge and agree that CoinP provides the CoinP Web3 Wallet Services to you based on the representations, warranties, and undertakings you have made under this Agreement.
5. Indemnification
Without limiting any other rights or remedies CoinP may have under applicable law, the User Agreement, or other provisions (and without duplication), you agree to indemnify, defend, and hold harmless CoinP and its affiliates, and their directors, officers, employees, service providers, and agents, from any and all losses arising from the following circumstances.
Such losses, whether direct or indirect, and whether occurring in the performance of this Agreement or in any other circumstances related thereto, specifically include, but are not limited to, any and all losses arising from or caused by:
(a) Your breach of any term, representation, or warranty under this Agreement, or failure to comply with any provisions of this Agreement or any applicable law;
(b) Your violation of any applicable law or third-party rights, and/or your authorization of any third party to use the Web3 Wallet Services or access websites, software, and/or systems operated by us or on our behalf (including networks and servers used to provide Web3 Wallet Services), or any consequences arising from such third party participating in the Web3 Wallet Services in your name;
(c) Any changes in applicable law that affect the CoinP Web3 Wallet Services;
(d) Any actions taken by CoinP in connection with this Agreement, the User Agreement, or matters related to your account, or any issues arising from your conduct.
If CoinP or its directors, officers, employees, service providers, or agents become involved in or must respond to any investigation or legal proceedings (including litigation, regulatory investigation, arbitration, or any other proceedings) arising under any of the foregoing clauses (a) to (d), you shall fully indemnify CoinP and related personnel, including but not limited to all costs, expenses, and attorneys’ fees incurred to provide records, information, or materials, or to pay any settlements related to lawsuits, judgments, orders, or awards (on a full indemnification basis). You shall also provide all reasonable assistance to CoinP in responding to such investigations or legal proceedings.
6. Risk Disclosure
In addition to the risks disclosed in the User Agreement, on the website, and through other communication channels regarding digital assets and the market, the following risks may also relate to the Web3 wallet service and your digital asset transactions. You understand that this risk disclosure statement is not exhaustive and cannot cover all possible risks:
(a) Market Risk
You acknowledge that digital asset trading is inherently highly volatile and speculative. Such volatility may arise from changes in market demand, technological developments, market sentiment, or macroeconomic factors. You accept that such fluctuations may positively or negatively affect the value of digital assets, and you participate in transactions independently, fully aware that asset values may change rapidly and significantly.
(b) Regulatory Risk
The legal and regulatory environment for digital assets is continuously evolving. Regulatory changes may include, but are not limited to, new compliance obligations, trading restrictions, or even the complete prohibition of certain asset transactions, which may significantly affect the value, legality, or liquidity of digital assets. You agree to bear all risks arising from such legal or regulatory changes and acknowledge that we shall not be liable for any loss resulting from such changes.
(c) Operational Risk
Due to factors including but not limited to technical failures, system maintenance, or cybersecurity incidents, the website’s normal operations may be delayed or interrupted. Although CoinP will take reasonable measures to ensure platform continuity and security, you understand and accept that such risks may cause transaction delays or temporary inability to access accounts and assets.
(d) Settlement Risk
Certain unforeseen circumstances may affect the timely settlement of transactions. You understand and agree that settlement cycles may be extended or delayed due to extreme market volatility, network congestion, simultaneous redemption requests by multiple users, or other unpredictable events. Such delays or cancellations may adversely affect the value of your digital assets.
(e) Liquidity Risk
Some digital assets may have insufficient liquidity, resulting in significant price slippage, or inability to buy or sell assets without affecting market prices. CoinP does not guarantee the liquidity of any digital asset. You should fully consider the risks of insufficient liquidity before placing orders or engaging in transactions.
(f) Risk of Financial Loss
You bear all risks when conducting any transactions and are fully responsible for any financial losses. Please assess your financial condition and risk tolerance carefully before trading and consider consulting financial, legal, or tax advisors.
(g) Asset Arrival Delays
You understand and agree that there may be a time lag or delay when redeeming or accessing your digital assets to arrive in your CoinP Web3 wallet. The amount displayed in the wallet shall be considered final. We are not responsible for any losses caused by such delays.
(h) User Error or Malfunction
You are responsible for any loss caused by your negligence or operational errors, including but not limited to: failing to follow trading prompts, not completing transactions timely, transferring digital assets to incorrect third-party services or addresses, forgetting or disclosing passwords or private keys, password hacking, computer intrusion, or inputting incorrect addresses for digital asset transfers or receipts.
(i) Third-Party Services and Content Risks
You understand and agree that when using the Web3 wallet service, you may access or use third-party services. We are not liable for any losses resulting from accessing or using third-party services. We only provide access permissions and do not guarantee the accuracy or continuity of third-party services. You are responsible for any losses caused by smart contract vulnerabilities, hacking, service interruption, or other issues. Web3 wallet services may include links or integrations to third-party websites, applications, or content. By accessing or using them, you are bound by their terms and privacy policies.
(j) Third-Party Service Interruptions or Failures
You understand and agree that if third-party service interruptions prevent you from using the Web3 wallet service or executing transactions, we will not be liable for any loss. Such circumstances include, but are not limited to: suspension or termination of third-party services, system failures, force majeure events, hacking, technical adjustments, website upgrades, banking system issues, government regulatory closures, or other unforeseeable events.
7.Retention of your personal information
(a) You understand and agree that, in accordance with the Privacy Policy, our internal data protection measures and policies, and/or all applicable laws, personal information and related data collected during your use of the Web3 Wallet services may be retained and stored, and may be used to fulfill accounting or reporting obligations, as well as legal obligations under financial or anti-money laundering regulations, for the legally required retention period or as necessary for dispute resolution.
(b) Content you post on our website, including customer service messages, photos, videos, posts, and other content, may be retained after the termination of this Agreement for auditing and crime prevention purposes (e.g., preventing known fraudsters from opening accounts again).
(c) Recordings of phone calls between you and us may be retained for up to six years, or for the period required under applicable laws. This means that even if this Agreement is terminated, we may still retain recordings of your calls with us.
8.Limitation of Liability and Disclaimer
(a) You expressly agree that the risks of participating or not participating in CoinP Web3 Wallet and related services are entirely borne by you. Unless explicitly stated otherwise in this Agreement, all products and services are provided through CoinP Web3 Wallet and related services strictly on an "as-is" and "as-available" basis. CoinP, its affiliates, service providers, and suppliers make no express or implied representations, warranties, or commitments, including but not limited to warranties of merchantability, quality, fitness for a particular purpose, title, non-infringement, absence of errors or omissions, continuity, accuracy, or reliability of the CoinP Web3 Wallet. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. CoinP makes no representation or warranty regarding the validity, accuracy, correctness, reliability, quality, stability, completeness, or timeliness of the technology or information related to CoinP Web3 Wallet or any other service provided by CoinP.
(b) Nothing in this Agreement excludes or limits liability for fraud, gross negligence, death, or personal injury, or any other liability that cannot be legally limited or excluded under applicable law.
(c) You agree and acknowledge that CoinP’s total liability shall not exceed the total fees collected from you in the past twelve (12) months.
(d) We do not control the quality, safety, or legality of any third-party services, nor do we guarantee the truthfulness or accuracy of information provided by third parties. Any transactions between you and third-party service providers are at your own risk. We make no express, implied, statutory, or other warranties regarding third-party services, including that the content or services will be uninterrupted, error-free, free of harmful components, secure, or not lost or altered. You agree that we have no obligation to verify the legality, safety, or suitability of any third-party applications or tokens you interact with or receive through Web3 Wallet services. You acknowledge that some Web3 Wallet services include security-enhancing technical measures, and you bear full responsibility for understanding and using these measures correctly.
(e) You agree and accept that CoinP and its affiliates shall not be liable for any loss arising from platform failures or Web3 Wallet service interruptions, including system failures, delays, interruptions, non-responsiveness, delayed responses, or other abnormal conditions, preventing you from using the service or executing transactions. These situations include but are not limited to:
(i) Service suspension for maintenance;
(ii) CoinP suffers a hack, including but not limited to theft of user account passwords, private keys, API keys, causing unauthorized access to user accounts and/or illegal transfer of digital assets;
(iii) System unable to transmit data due to telecommunication equipment failure;
(iv) Force majeure or unforeseen events including but not limited to typhoons, earthquakes, tsunamis, floods, pandemics, blackouts, wars, riots, governmental actions, terrorist attacks, and other events potentially causing suspension of CoinP and/or its services;
(v) Service interruptions or delays due to hacking, computer viruses, technical adjustments or failures, website upgrades, banking issues, or government regulations causing temporary closures;
(vi) Service interruptions or delays caused by platform computer system damage, defects, or malfunctions;
(vii) Losses due to technical issues that cannot be foreseen or resolved under current industry standards;
(viii) Losses suffered by you or third parties due to third-party faults or delays;
(ix) Losses suffered by you or third parties due to changes in applicable laws;
(x) Losses suffered by you or third parties due to other objectively unforeseeable, unavoidable, or insurmountable force majeure or unexpected events; or
(xi) Other losses due to external uncontrollable events not attributable to CoinP.
9.Other Terms
(a) Acceptance of Terms. Using the Web3 Wallet services indicates that you have read, understood, and accepted this Agreement and all transaction and operational rules related to the Web3 Wallet services. You agree to be legally bound by the terms and conditions of this Agreement. Please carefully review the service terms, privacy policies, and related transaction and operational rules published by third-party service platforms (as amended from time to time), and only use the Web3 Wallet services after reading, understanding, and agreeing to all applicable rules and policies.
(b) Force Majeure. CoinP shall not be liable for any inaccuracies, errors, failures, delays, or omissions in information or its transmission resulting from events beyond its reasonable control (including but not limited to floods, extreme weather, earthquakes, natural disasters, fires, war, riots, labor disputes, accidents, government actions, terrorist attacks, market failures or interruptions, telecommunications or network failures, communication or power outages, account security, integrity, or operational attacks, equipment or software failures, etc.), nor for the performance of obligations under this Agreement.
(c) Translation Versions. CoinP may, at its discretion, provide non-English translations of this Agreement. You agree that such translations are for convenience and reference only, and in the event of any discrepancy, difference, or omission, the English version shall prevail.
(d) Amendments. CoinP reserves the right to unilaterally change, revise, modify, or update the terms, conditions, and specific functions of this Agreement and CoinP Web3 Wallet services (including but not limited to transaction fees and other procedural or substantive content) without prior notice if deemed necessary or appropriate. Modifications will be made based on industry standards, operational needs, feedback, technical optimization, or strategic adjustments and will take effect immediately upon publication. You are responsible for regularly reviewing the relevant website pages to confirm the latest version. CoinP may notify updates via email or website announcements but is under no obligation to do so. Continued use of the services constitutes acceptance of the changes. If you do not agree with the modifications, you should immediately cease using CoinP Web3 Wallet services.
(e) Severability. If any provision of this Agreement is deemed invalid, illegal, or unenforceable, it will not affect the validity of the remaining provisions. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent required by applicable law; if modification is not possible, that provision shall only be invalid or unenforceable to the extent necessary, without affecting the enforceability of the remainder of the Agreement or in other jurisdictions.
(f) Assignment of Rights and Obligations. You may not assign any rights or obligations under this Agreement without our prior written consent (including any related to enforcement or control changes). We may assign all or part of our rights or obligations without notice or consent.
(g) Waiver. Failure or delay by CoinP to exercise any right, power, or remedy under this Agreement or applicable law does not constitute a waiver. Additionally, the exercise of any right, power, or remedy, whether in part or individually, does not preclude further or additional exercise of the same or any other rights, powers, or remedies.
(h) Governing Law. This Agreement, your participation in CoinP Web3 Wallet, and any direct or indirect claims, counterclaims, or disputes are governed by and construed under the laws of the Republic of Panama (without regard to conflict of law principles).
(i) Dispute Resolution. Any dispute arising from this Agreement or related documents or transactions (including disputes regarding the existence, validity, or termination of this Agreement and non-contractual disputes arising out of or related to this Agreement, collectively "Disputes") shall first be attempted to be resolved through amicable negotiation. If not resolved within thirty (30) days after notice, the dispute shall be finally settled by arbitration in Panama (excluding ordinary court jurisdiction) under the current ICC Arbitration Rules, incorporated by reference into this Agreement. The seat of arbitration shall be Panama, the language shall be English, and the arbitration shall be conducted by a sole arbitrator. After arbitration commences, you agree to make genuine efforts to resolve the dispute through mediation. Any settlement reached via mediation may be submitted to the arbitral tribunal and a settlement award issued according to the agreed terms.
(j) Not for U.S. Citizens. The content of this website does not constitute an offer or sale of securities in the United States, to persons in the United States, or to U.S. persons (or for their accounts or benefits), nor does it constitute an offer or sale in any other jurisdiction where such offers or sales are prohibited. Token transfers may be subject to restrictions under applicable law. In no event shall tokens be reissued, resold, or transferred in the United States or to U.S. persons (or for their accounts or benefits) except under a registration exemption under the amended U.S. Securities Act of 1933 or transactions not requiring registration. If tokens are publicly issued in the United States, it must be via a prospectus available from the issuer or holders of the digital assets, containing detailed information about the company, management, and financial statements.
(k) Final Interpretation. For matters not explicitly addressed in this Agreement, we reserve the sole and final right of interpretation within the scope of applicable law.
